Registrar General to end validation of companies this month

The Registrar General’s Department has urged defaulting companies to take the necessary measures to be in good standing before the deadline

The Registrar General’s Department (RGD) says it would end its validation of dormant companies at the end of September this year.

The exercise was to validate dormant companies which adhered to the directive of the Registrar of Companies to file their annual returns with the Department or risk being delisted from the Companies Register.

Companies that could not file their annual returns before the 30 June deadline for any reason were urged to take advantage and comply during the validation period which commenced on 1 July 2021.

These dormant companies were public/private companies limited by shares, public/private companies limited by guarantee (Associations, Fun Clubs, Churches etc.), private unlimited companies and external companies.

Companies are required by the Companies Act 2019 (Act 992) to update their records and file their financials with the Registrar General 18 months after incorporation and at every financial year whether the company was in business operation or not in operation.

A statement signed by Jemima Oware, the Registrar General, said “Companies due for strike off still in default after end of September 2021 would be published in the national dailies and the department’s website.

“A company status at this period would be classified as being inactive and would not be able to be accessed for any business transaction for the next 12 years except by a court order to the department for reinstatement to good standing in the Companies Register.”

The statement added, “Defaulted companies are advised to take necessary measures to be in good standing with the department if they are still interested in carrying on business with that name.

“Meanwhile, dormant and defaulted companies’ officials are being contacted by the department to file their returns with the department before end of September 2021,” the statement said.
